1. ACKNOWLEDGMENT AND ACCEPTANCE OF TERMS OF USE:

The use of www.brainads.com ("Brain Ads"), are provided to you ("User") under the terms and conditions of this Brain Ads Terms of Use, and any operating rules or policies that may be published by Brain Ads at the URL: www.brainads.com (the "Terms of Use"). The Terms of Use comprises the entire agreement between User and Brain Ads and supersedes all prior agreements between the parties regarding the subject matter contained herein. BY DONATING TO BRAIN ADS AND USING ITS FREE TELEPATHIC AD TO ADVERTISE, USER AGREES TO BE BOUND BY ALL OF THE TERMS AND CONDITIONS HEREIN. User may continue to use Brain Ads as long as User adheres to these Terms of Use.

2. DONATIONS AND FREE TELEPATHIC AD:

You agree that:

  1. You are DONATING money, and therefore, will not be entitled to any dispute, request of a refund or reversal of payment, once you have confirmed your donation through the PayPal payment service and PayPal has completed your transaction. You also agree, that you will not be entitled to dispute and/or request a refund from PayPal. Regardless of whether your only intention for donating money to Brain Ads was getting a free telepathic ad, you agree that the money you are sending is a donation, and therefore, cannot be disputed or reversed once payment for this donation or any number of donations you make have been confirmed (or completed) by PayPal.
  2. You understand that the ad will be aired or transmitted using "telepathy".
  3. You accept the existence of telepathy and telepathic abilities in human beings, and that these abilities can be used to transmit information betweeen human beings.
  4. The donations will be used for personal purposes of the owner of Brain Ads as well as for further donation to charities. Personal purposes include medicines, medical treatment, research into the telepathic condition, travel for medical treatment or for pleasure, and any other goods.
  5. The FREE TELEPATHIC AD is a free ad that will be telepathically transmitted as an appreciation for your donation; this means that:

    a. Brain Ads and its owner or staff are not in any way legally obliged to telepathically, or through any other medium, transmit or air your ad once you have made a donation.
    b. Furthermore, Brain Ads and its owner or staff are not in any way legally obliged to telepathically, or through any other medium, transmit or air your ad on any specific month, week, day or time of day.
    c. Brain Ads has the right to turn down your ad material and not transmit it if it deems any of the ad content unfit for transmitting telepathically

    d. Only the User is responsible for any unacceptable ad content, and Brain Ads cannot be hold liable for mistakingly transmitting or airing such content.


3. CONTENT OF ADS AND CONDUCT:

You are solely responsible for your conduct and any data, text, information, graphics, photos, images, video clips, movies and other content ('Materials') that you submit on the Brainads.com website. You agree NOT to:

  1. Defame, abuse, harass, stalk, threaten or otherwise violate the rights (such as rights of privacy and publicity) of others.
  2. Publish, distribute and/ or disseminate any harmful, obscene, indecent, unlawful, libelous, profane, defamatory, infringing, inappropriate, hateful, or racially, ethnically or otherwise objectionable material or information.
  3. Submit an ad containing any type of pornography, sexual content (either in text, video or audio), alcohol or tobacco products and/or political campaign material.
  4. Submit Materials that are unlawful or promote or encourage illegal activity or that would violate the property rights of others.
  5. Submit Materials of any third party without such third party's prior written consent, or Materials that falsely express or imply that such Materials are sponsored or endorsed by Brainads.com
  6. Disseminate content that infringes any patent, trademark, trade secret, copyright, rights of privacy or publicity, or other proprietary right of any party or infringes any intellectual property law or any other applicable law.
    8. Transmit, email or post any material that contains in any form software viruses or such programs as including but not limited to, Trojan horses, worms, time bombs, cancel-bots, computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.
  8. Use the Brainads.com Service in any unlawful manner or in any other manner that could damage, disable, overburden or impair the website.
  9. Attempt to gain unauthorized access to the Brainads.com upload site area, other accounts, computer systems or networks connected to the Brainads.com, through password mining or any other means.
  10. Harvest or collect email addresses or other contact information of Members, including usernames, from the Brainads.com website by electronic or other means.

4. INDEMNIFICATION:

You agree to indemnify and hold Brainads.com, its parent, subsidiary, affiliate, officers, employees, agents, directors, successors and assigns harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your donation to Brainads.com and use of the free telepathic ad provided by Brainads.com, the violation of this TOU by you, the infringement by you (or other user accessing Brainads.com using your username and password) of any intellectual property or other right of any person or entity or violation of any international, federal, state or local law or regulation.

5. LINKS TO THIRD PARTY SITES:

Any web sites that are accessible via links included within the Brainads.com website that take you out of the Brainads.com website are not under Brainads.com's control and Brainads.com shall not be responsible for the content, products or services of any linked website. All such websites shall be subject to the policies and procedures of the owner of such website. We encourage you to read those policies and know your rights under any web site you visit.

6. PROPRIETARY RIGHTS:

Brainads.com does not claim any ownership rights in any Materials that you submit (post or upload) on or through the Brainads.com website. After submitting, posting or uploading Materials on or through the Brainads.com website, you continue to retain all ownership rights in such Materials, and you continue to have the right to use your Materials in any way you choose. By submitting, posting or uploading any Materials on or through the Brainads.com website, you hereby grant to Brainads.com limited license to use, modify, publicly perform, publicly display, reproduce, or distribute such Materials solely through telepathic means.
